In Clio Work, you can create review playbooks that store your firm's preferred, acceptable, and unacceptable positions for each term in a contract type. Vincent grades incoming contracts against those positions, explains its reasoning term by term, and proposes redlines in Microsoft Word. The result is a consistent first-pass review of every contract against your firm's existing standards.
Create a review playbook
Builders and admins can create review playbooks. Each playbook covers a single contract type, such as a nondisclosure agreement, from one party's perspective. You can start with an existing guidelines document, sample contracts, or a description of your review.
Important: A new playbook saves only when you click Save. Click Save before you leave the page.
Tip: Vincent drafts each position from your materials, so treat the proposal as a draft of your firm's standard. Write positions as thresholds Vincent can measure, such as Confidentiality obligations survive at least three years, rather than general preferences. Start with a high-volume contract type with settled positions, such as nondisclosure agreements or vendor agreements.
- Go to Vincent > Customise > Playbooks.
- Click New Review Playbook.
- Choose how to start:
- Upload contract guidelines: Upload an existing playbook, guidelines document, or standard operating procedure.
- Build from sample documents: Upload three to 10 approved contracts of the same type, then click Build from samples.
- Describe the contract type and your review objectives in the prompt box, then send your message.
- Answer the questions Vincent asks about the agreement, such as which jurisdiction applies.
- In Who is this review from the point of view of?, select the party you represent, then click the arrow.
- Review the proposed playbook on the canvas. Each clause lists its terms with a Preferred, Acceptable, and Unacceptable position.
- Optional: Edit the proposal on the canvas, using the steps in the next section.
- Click Save.
Edit a review playbook
Builders can edit the playbooks they created, and admins can edit any playbook in the firm. You can edit the playbook directly on the canvas or describe the change to Vincent in the conversation. The party, contract type, and jurisdiction are set when the playbook is built. To use different values, create a new playbook.
Note: To select a grading direction, click the dropdown, press the up or down arrow key to highlight an option, then press Enter.
- Go to Vincent > Customise > Playbooks.
- Select the playbook, then click Edit.
- Make your changes:
- Edit text: Click the playbook name, description, a clause title, a term name, or a position, then type your change.
- Edit term grade: Select higher is better, contextual, or lower is better from the dropdown next to the term name.
- Add content: Click + Add term or + Add clause.
- Delete a clause or term: Click the delete icon next to it.
- Describe a change, type it in the conversation, for example Make the return deadline 10 days.
- To add more sample documents, click the Add files icon at the top of the page.
- Click Save.
Share or remove a review playbook
The Playbooks tab lists the playbooks you created under Your reviews and playbooks others share with you under Shared with me. Select a playbook to open its preview, which lists its party, contract type, jurisdiction, description, creator, last update, and clauses.
Share a review playbook
A new playbook is available only to the person who created it.
- Go to Vincent > Customise > Playbooks.
- Select the playbook.
- Click Just me.
- Select Entire organisation.
Remove a review playbook
Builders can remove the playbooks they created, and admins can remove any playbook in the firm.
Important: Removing a playbook deletes every position in it and stops Vincent from reviewing contracts against it. The removal is permanent.
- Go to Vincent > Customise > Playbooks.
- Select the playbook.
- Click the more icon (vertical ellipsis).
- Click Remove.
- In Remove this playbook?, click Remove.
Run a review playbook in Clio for Word
Everyone in the firm can run the playbooks shared with them. Reviews run in the Clio for Word add-in, where Vincent applies proposed changes to the open document as tracked changes. Vincent grades each term the contract addresses:
- Preferred
-
The contract term meets or improves on your preferred position.
- Acceptable
-
The contract term falls between your preferred and unacceptable positions.
- Unacceptable
-
The contract term meets or falls below your unacceptable position.
Note: Include both review and playbook in your prompt, or name a saved playbook. A prompt such as Review this contract runs a standard Vincent review.
Tip: A review playbook grades only the terms it contains. Vincent's summary flags other provisions that need attention, such as indemnity or non-solicitation clauses, so read the full agreement before you send the redline to opposing counsel.
- Open the contract in Microsoft Word.
- On the Home ribbon, click Clio to open Clio for Word.
- Type a prompt that asks for a review and names the playbook, for example Run my Mutual NDA review playbook against this contract.
- Review the summary at the top of the results, which lists the playbook, the number of terms analysed, and the party Vincent reviewed for.
- Select Unacceptable, Acceptable, or Preferred to review the findings for each clause.
- Click a finding to expand Vincent's reasoning and proposed redline. To highlight the matching text in the document, click the locate icon.

Apply the changes you want:
- To apply one finding, click Apply.
- To apply several findings, select their checkboxes or select Select all, then click Apply tracked changes. These controls cover every finding with a proposed redline across all three tabs.
- Review the tracked changes in Word, then accept or reject each one.
